A Confidentiality and Invention Assignment Agreement, often called a CIIAA or PIIA, is the standard startup document combining an NDA and an IP assignment agreement into one signed contract every employee and contractor completes.
Rather than asking someone to sign two separate documents, most startups use one combined agreement covering both obligations at once: don't share confidential information, and assign any IP created during the engagement to the company. Typically signed on day one, before any actual work begins.
This is the single document diligence teams check first when verifying IP ownership, and a missing signature from even one early contributor, an early contractor, a co-founder who left before formal paperwork was in place, is one of the more common gaps found during a raise or acquisition. Worth confirming every past and current contributor actually has one on file, not just current employees.
